Etihad Energy activates capital increase after MCB conversion for Brooge deal

Etihad Energy Holding said it will activate a capital increase on Dubai Financial Market after converting part of mandatory convertible bonds issued for its Brooge Energy acquisition.

Etihad Energy Holding PJSC, listed on Dubai Financial Market under the ticker ETIHADENERGY, said it has completed Capital Market Authority requirements to activate a capital increase tied to the conversion of mandatory convertible bonds.

Shareholders had previously approved issuing mandatory convertible bonds of AED 2,336,448,155 in favour of Brooge Energy Limited for an acquisition transaction, with a one-year lock-up after conversion into shares. The company said it obtained CMA non-objection, issued the bonds, and received conversion notices covering AED 225,541,271 of bonds into 180,433,019 shares.

Activation on Dubai Financial Market is set for 4 September 2026 after trading hours. Previous share capital was AED 3,190,253,888; capital after the increase is AED 3,370,686,907, an increase of about 5.66%. Shares from this conversion and any future bond conversions will be subject to a 12-month trading lock-up from the conversion date.
