ADQ launches squeeze-out of AD Ports shares at AED 6.25 after 98.93% stake
Abu Dhabi Developmental Holding (ADQ) said its stake in Abu Dhabi Ports reached 98.93% and issued a compulsory acquisition notice for remaining shares at AED 6.25, with settlement expected on 22 December 2026.

Abu Dhabi Developmental Holding Company PJSC (ADQ), a wholly owned subsidiary of L’imad Holding Company PJSC, has notified the board of Abu Dhabi Ports Company PJSC that its ownership stake has reached 98.93% of the company’s share capital.
Because that holding exceeds 90% plus one share, ADQ said it has issued a compulsory acquisition, or squeeze-out, notice to acquire all remaining shares not already owned by it. The squeeze-out price is AED 6.25 per share, the same price set out in the Offer Document dated 18 August 2026 and in the voluntary tender offer that closed on 15 September 2026.
According to the notice, settlement is expected on 22 December 2026, subject to conditions precedent and the expiry of a 60-day challenge period from the date of the notice. Relevant shareholders may apply to the competent court within that period to seek suspension; absent a court order, the process is not suspended.
In a letter dated 25 September 2026, ADQ asked Abu Dhabi Ports’ board to disclose the squeeze-out notice through the Abu Dhabi Securities Exchange.
