Invest Bank P.J.S.C invited shareholders to a General Assembly on 15 October 2026 at 11:00 to approve an 82.18:1 reverse share split that raises the nominal value to AED 1.00 while leaving issued capital unchanged at AED 3,202,492,929. The circular cites preliminary CBUAE no-objection and CMA and ADX approvals; trading would suspend for five days around the effective date.

Invest Bank P.J.S.C (INB) invited shareholders to a General Assembly on Thursday 15 October 2026 at 11:00 at its head office in Al Nad, Al Qasimia, Sharjah, with virtual attendance also available, to consider a proposed reverse share split.

The special resolution seeks approval of an 82.18:1 consolidation under which every 82.18 ordinary shares of nominal value AED 0.0122 would become one ordinary share of nominal value AED 1.00. Total issued share capital would remain AED 3,202,492,929, while the number of issued shares would fall from 263,180,982,143 to 3,202,492,929.

The bank’s shareholder circular dated 23 September 2026 says the consolidation has received preliminary no-objection from the Central Bank of the UAE and approval from the Capital Market Authority and Abu Dhabi Securities Exchange. Article 5 of the Articles of Association would be amended to reflect the new share count and nominal value.

Trading in the bank’s shares would be suspended for five trading days around the effective date, with ADX adjusting the reference price using the pre- and post-consolidation share counts. Shareholders holding 82 shares or fewer before the consolidation would receive one new share; other fractional entitlements would be rounded down, aggregated, sold on ADX, and the net proceeds distributed pro rata, with the bank bearing the applicable service fee. The ISIN would not change.

Ordinary agenda items include authorizing the meeting chairman to appoint the secretary and vote collector, and absolving a former board member from liability. The invitation states there is no proposal to distribute dividends. If quorum of at least 50% of capital is not met, a second meeting is set for Thursday 22 October 2026 at the same time and place. Special resolutions require approval by shareholders representing at least three-quarters of the shares represented at the meeting.
